These Terms of Service ("Terms") govern your access to and use of the BrainyMaster and BrainyGRC websites, platforms and related services (together, the "Services"), provided by Ashal Technologies ("we", "us", "our"). By accessing our website, requesting a demo, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
BrainyMaster is a human risk management platform offering phishing and smishing simulation, security awareness training (LMS), policy distribution and enforcement, and automated notifications, available as SaaS or on-premise deployment. BrainyGRC is a companion governance, risk and compliance platform, currently offered as a beta service. Features, availability and functionality may change or expand over time.
Certain parts of the Services require an account, provisioned by your organization's administrator or by us. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.
You agree not to use the Services to:
Customers using BrainyMaster's phishing and smishing simulation features represent and warrant that they have the necessary internal authorization, employment agreements, or policies in place to run simulated attack campaigns against their own employees or contractors, and that such use complies with applicable labor, privacy and telecommunications laws in their jurisdiction. Ashal Technologies provides the platform and tooling; responsibility for lawful and appropriate use of simulation campaigns rests with the customer organization running them.
BrainyGRC is currently offered as a beta service. Beta services are provided "as is," may contain bugs or incomplete functionality, may change substantially, and are not covered by the same service-level commitments as generally available services. We may modify or discontinue beta features at any time. Feedback provided by beta participants may be used to improve the Services without obligation to the participant.
Paid use of the Services is subject to the pricing, billing cycle and payment terms agreed in your order form or subscription agreement with us. Fees are non-refundable except as expressly stated in your agreement or required by law. We may suspend access for accounts with significantly overdue payments, after reasonable notice.
The Services, including all software, design, text, graphics and other content (excluding content you or your organization upload), are owned by Ashal Technologies or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your organization's internal business purposes. You retain ownership of content and data you upload to the Services.
Our collection and use of personal information in connection with the Services is described in our Privacy Policy. Where we process personal data on your behalf as part of a SaaS deployment, the parties may enter into a separate data processing agreement as needed to meet applicable data protection requirements. We aim to keep the Services available and performant, but do not guarantee uninterrupted access. Scheduled maintenance, updates, or circumstances beyond our reasonable control may result in temporary downtime. Specific uptime commitments and support response times, if any, are set out in your applicable order form or service-level agreement.
To the maximum extent permitted by law, Ashal Technologies will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages. Our aggregate liability arising out of or related to these Terms will not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
You may stop using the Services at any time. We may suspend or terminate your access to the Services if you materially breach these Terms and fail to remedy the breach within a reasonable period after notice, or immediately in cases of serious misuse, security risk, or non-payment. Upon termination, your right to use the Services will cease, subject to any data-return or data-deletion terms in your agreement.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles, unless otherwise agreed in a signed customer agreement. Any disputes will be subject to the exclusive jurisdiction of the competent courts, unless another forum is agreed in writing.
We may revise these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date, and material changes may be communicated to administrators directly. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
